Limitation of Liability
To the maximum extent permitted under applicable Indian laws, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, DesignerHub, operated by DesignerHub Learning LLP (“DesignerHub”), along with its educational partners, affiliates, employees, directors, officers, agents, vendors, or suppliers, shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your access to, use of, or inability to use the Platform or any Tracks.
This includes, but is not limited to, loss of profits, loss of data, loss of goodwill, business interruption, inaccuracies in content, technical errors, system failures, viruses, or device malfunctions.
In all circumstances, DesignerHub’s total liability, if any, shall be limited to the amount actually paid by you for the specific Track or service giving rise to the claim.
No liability shall arise for free access, free resources, or non-paid usage of the Platform.
Site Linking
The Platform may contain links to third-party websites or resources (“Linked Sites”) that are not owned or controlled by DesignerHub. These Linked Sites may contain information, content, products, or services offered by third parties.
DesignerHub does not author, host, control, monitor, or regularly review the content or availability of such Linked Sites. By accessing any Linked Site, you acknowledge and agree that:
(a) DesignerHub is not responsible for the accuracy, reliability, availability, or completeness of any information provided on Linked Sites;
(b) DesignerHub does not endorse, sponsor, or approve any content, advertisements, products, services, or representations made on Linked Sites; and
(c) your access to and use of Linked Sites is governed solely by the terms and conditions and privacy policies of those third-party websites.
DesignerHub may add, modify, or remove Linked Sites from the Platform at its discretion and without prior notice.
To the extent permitted under applicable Indian law, DesignerHub shall not be liable for any loss, damage, or dispute arising out of or in connection with any transaction, interaction, or communication between you and any third party through Linked Sites.
The inclusion of any link on the Platform is provided for informational or convenience purposes only and does not imply any relationship, endorsement, sponsorship, or partnership between DesignerHub and the operator of such Linked Site.
You may not create or establish a link to the Platform from any website, application, intranet, or extranet without prior written permission from DesignerHub.
Where linking permission is granted, such linking must not misrepresent any association with DesignerHub or imply endorsement, sponsorship, or approval by DesignerHub, its educational partners, or their respective employees, agents, directors, officers, or shareholders.
Indemnity
You agree to indemnify, defend, and hold harmless DesignerHub, operated by DesignerHub Learning LLP (“DesignerHub”), and its educational partners, directors, officers, employees, and agents, from and against any third-party claims, demands, losses, damages, liabilities, costs, or expenses, including reasonable legal fees, arising out of or relating to:
(a) your access to or use of the Platform or any Track in violation of these Terms;
(b) your breach of any applicable law, regulation, or the rights of any third party; or
(c) any content, data, or information that you submit, upload, publish, or otherwise make available through the Platform or any Track, including claims relating to intellectual property infringement.
This indemnity obligation shall apply only to the extent such claims arise due to your acts or omissions and shall be subject to applicable Indian laws.
Termination of Access
DesignerHub, operated by DesignerHub Learning LLP (“DesignerHub”), reserves the right to suspend or terminate your account, access to the Platform, or enrolment in any Track, in whole or in part, if DesignerHub reasonably believes that you have:
(a) breached these Terms or any applicable policy;
(b) infringed the intellectual property rights of any third party;
(c) uploaded, posted, or transmitted any unauthorised, unlawful, or prohibited content; or
(d) engaged in conduct that is inconsistent with the intent or proper use of the Platform or any applicable code of conduct.
Where reasonably practicable, DesignerHub may provide prior notice or an opportunity to remedy the breach. However, immediate suspension or termination may occur without notice in cases involving serious violations, unlawful activity, or risk to the Platform, users, or third parties.
DesignerHub shall not be liable for any loss or damage arising from such suspension or termination, except to the extent required under applicable Indian law.
Upon termination, DesignerHub may retain and process your personal information in accordance with its Privacy Policy and applicable laws, including the Information Technology Act, 2000 and related rules.
Miscellaneous Provisions
DesignerHub is a brand operated by DesignerHub Learning LLP, a company incorporated under the laws of India.
By accessing or using the Platform, you confirm that you are at least 18 years of age. If you are under 18 years of age, you may access the Platform only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Tracks and paid offerings are not intended for use by individuals under the age of 18.
DesignerHub may assign or transfer its rights and obligations under these Terms, in whole or in part. You may not assign or transfer any of your rights or obligations under these Terms without prior written consent from DesignerHub.
These Terms shall be governed by and construed in accordance with the laws of India.
The parties shall first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform through good-faith discussions. If such dispute is not resolved amicably, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.
The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If the parties are unable to agree on the appointment, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Hyderabad, Telangana, India. The arbitration proceedings shall be conducted in the English language.
Subject to the arbitration clause above, the courts at Hyderabad, Telangana, India, shall have exclusive jurisdiction.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
DesignerHub shall not be liable for any failure or delay in performance of its obligations where such failure or delay results from events beyond its reasonable control, including acts of God, war, civil unrest, governmental actions, network or internet failures, or natural disasters.
These Terms constitute the entire agreement between you and DesignerHub concerning your use of the Platform. DesignerHub may modify these Terms from time to time by publishing updated versions on the Platform. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
